Terms of Service
Welcome to CINERA, a film and television production location scouting and management platform operated by Illuminate Productions Inc., an Alberta, Canada corporation. These Terms of Service ("Terms") govern your access to and use of the CINERA platform, including our website, applications, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Definitions
- "Account" means the account you create to access and use the Service.
- "Content" means any photos, images, documents, scripts, location data, notes, and other materials you upload, submit, or transmit through the Service.
- "Project" means a production or collection of locations and related materials organized within the Service.
- "Team Member" means any user you invite to collaborate on a Project.
- "User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
- "We," "us," "our," or "CINERA" refers to Illuminate Productions Inc. and the CINERA platform.
- "AI Features" means artificial intelligence and machine learning powered capabilities within the Service, including but not limited to the Weather Intelligence System, Script Breakdown Agent (SBA), Location Match Agent (LMA), Scout Report Agent (SRA), Revision Impact Agent (RIA), image analysis, and semantic search.
- "AI Output" means any text, narrative, report, summary, analysis, tag, or other content generated by AI Features, including outputs from third-party AI models such as Anthropic Claude and Amazon Rekognition.
- "Film Commission Look Book Program" means the opt-in program described in Section 5.6 through which scout-contributed photographs may be licensed for use in film commission promotional look books and trade show materials.
- "Look Book License" means the per-image, opt-in license granted by a scout authorizing CINERA and a named film commission partner to reproduce a specific photograph in Film Commission Look Book Program materials, as described in the Scout Contribution License Agreement.
- "Commissioned Photography Services" means engagements in which CINERA retains a photographer to conduct dedicated location shoots for the purpose of producing Film Commission Look Book Program content, as governed by the Commissioned Photography Services Agreement.
2. Account Registration
2.1 Eligibility
You must be at least 18 years of age to use the Service. By creating an Account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
2.2 Account Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your Account.
2.3 Account Security
You must notify us immediately of any unauthorized use of your Account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your Account credentials.
3. Beta Program (Concluded)
3.1 Beta Period
CINERA operated under a beta testing program that concluded on February 28, 2026 (the "Beta Period"). During the Beta Period, beta users received free access to the Service.
3.2 Post-Beta Service
The Service is now generally available under the subscription plans described in Section 4. All users are required to maintain an active subscription to access the Service. Content created during the Beta Period has been retained and remains accessible to subscribed users.
4. Subscription Plans and Payment
4.1 Available Plans
The Service is available under the following subscription plans:
- Scout App: $39.99 CAD per month, billed monthly via Apple App Store (Google Play coming soon). CINERA Scout mobile app only (location capture, GPS tagging, photo upload, offline sync, project participation).
- Scout Pro: $79.99 CAD per month, billed monthly. Includes CINERA Scout web portal and CINERA Scout iOS mobile app (Android coming soon).
- Location Manager: $174.99 CAD per month, billed monthly. Includes the Location Manager web portal, CINERA Scout mobile app, CINERA Manager mobile app, and five (5) team member seats (Assistant Location Managers, Location Coordinators, etc.) at no additional charge. Additional team member seats may be added at $29.00 CAD per seat per month.
4.2 CINERA Review Plans
CINERA Review is a separate production dailies platform available under the following plans, each requiring a one-time activation fee plus monthly usage billing:
- CINERA Review Standard: $5,000.00 CAD one-time activation fee, plus $15.00 CAD per 1,000 minutes stored and $10.00 CAD per 1,000 minutes delivered per month. Encoding and upload are included at no charge. Includes core dailies review, reshoot & pickup list workflow, EDL/ALE export, AI Slate Reader, and screener packages.
- CINERA Review Studio: $12,000.00 CAD one-time activation fee, plus $18.00 CAD per 1,000 minutes stored and $12.00 CAD per 1,000 minutes delivered per month. Includes all Standard features plus DRM-protected delivery, SSO, IP allowlisting, forensic watermarking, viewer audit reports, and offline mobile access.
- CINERA Review Enterprise: Fully negotiated terms; minimum commitment of $250,000 CAD per year. Contact review@cinera.ca for details.
CINERA Review activation fees are charged at the time of account provisioning via Stripe and are non-refundable. Monthly usage fees are invoiced in arrears based on actual minutes of video stored and delivered during the billing period. A separate service agreement governs each CINERA Review activation.
4.3 Billing
Subscription fees are billed in advance on a monthly basis. Your subscription will automatically renew each month unless cancelled before the next billing date. CINERA Review usage fees are invoiced monthly in arrears. All fees are quoted in Canadian Dollars (CAD) unless otherwise specified.
4.4 Payment Methods
Payment must be made using a valid payment method accepted by the Service. You authorize us to charge your payment method for all fees incurred under your Account.
4.5 No Refunds
All subscription and activation fees are non-refundable. No refunds or credits will be issued for partial months, unused features, or Account termination. You may cancel your subscription at any time, and your access will continue until the end of the current billing period. CINERA Review activation fees are non-refundable under all circumstances.
4.6 Price Changes
We reserve the right to modify subscription fees at any time. We will provide at least thirty (30) days' notice before any price increase takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
5. User Content
5.1 Ownership
You retain all ownership rights to the Content you upload to the Service. CINERA does not claim ownership of your Content.
5.2 License Grant to CINERA
By uploading Content to the Service, you grant CINERA a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and transmit your Content solely for the purpose of operating and providing the Service to you and those you choose to share it with. This license terminates when you delete your Content or your Account, subject to our data retention policy.
5.3 No AI Training or Marketing Use
We will not use your Content to train artificial intelligence or machine learning models. We will not use your Content for marketing purposes without your explicit written consent.
5.4 Content Responsibility
You are solely responsible for your Content and the consequences of uploading or sharing it. You represent and warrant that you have all necessary rights, licenses, and permissions to upload and share your Content, and that your Content does not violate any third party's intellectual property rights, privacy rights, or any applicable laws.
5.5 Content Backup
While we implement reasonable measures to protect your Content, you are responsible for maintaining your own backup copies of any Content you upload to the Service.
5.6 Film Commission Look Book Program
CINERA operates a Film Commission Look Book Program in partnership with participating film commissions. This program allows scout-contributed photographs to be licensed for use in promotional look books, trade show display materials, and regional film commission marketing packages designed to attract film and television productions.
Participation is entirely voluntary. The platform license granted in Section 5.2 does not extend to look book use. Inclusion of any scout photograph in Look Book Program materials requires:
- The scout’s affirmative account-level opt-in to the program; and
- The scout’s separate per-image written confirmation for each specific photograph proposed, including acknowledgment of the Per-Image Fee, the named film commission partner, and the specific publication or material.
CINERA will pay the confirming scout a Per-Image Fee stated in the selection notice, within sixty (60) days of the look book’s publication date. Full terms — including opt-in mechanics, look book license scope, withdrawal rights, and attribution — are set out in the Scout Contribution License Agreement.
Property owner photographs may appear in look book materials under the license already granted in the Property Listing Agreement. Property owners are informed of this potential use at the time they accept that agreement.
Where content gaps in the look book library are not covered by scout-contributed photographs, CINERA may engage photographers under Commissioned Photography Services. Those engagements are governed by a separate Commissioned Photography Services Agreement and are not subject to the opt-in mechanics of this Section.
6. Sharing and Collaboration
6.1 Team Collaboration
The Service allows you to invite Team Members to collaborate on Projects. You may share Content with Team Members by granting them access to your Projects.
6.2 Client Galleries
The Service allows you to share galleries publicly or with specific clients via shareable links. You are responsible for managing access to shared galleries and for any Content shared through these features.
6.3 Content Ownership in Shared Projects
Users retain ownership of the Content they individually upload, regardless of whether that Content is shared with Team Members or clients. Sharing Content does not transfer ownership rights to recipients.
6.4 Peer-to-Peer Location Sharing
The Service allows scouts and managers to share individual locations or folders directly with other CINERA users ("Borrowed Locations"). When you share a location, the recipient can view the location and its associated materials within their own library. Recipients cannot modify, delete, or re-share the originating user's Content. Ownership of shared Content remains with the user who originally uploaded it. You may revoke a peer share at any time, after which the recipient's access to the shared Content will be removed.
6.5 Disputes Between Users
CINERA is not responsible for disputes between users regarding Content ownership, access rights, or collaboration issues. Users are responsible for resolving such disputes independently.
7. Acceptable Use
7.1 Prohibited Conduct
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws;
- Upload Content that infringes any third party's intellectual property rights;
- Upload Content that is defamatory, obscene, harmful, or otherwise objectionable;
- Attempt to gain unauthorized access to the Service or other users' Accounts;
- Interfere with or disrupt the Service or servers connected to the Service;
- Use the Service to transmit malware, viruses, or other harmful code;
- Reverse engineer, decompile, or disassemble any portion of the Service;
- Resell, sublicense, or commercially exploit the Service without authorization.
7.2 Enforcement
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms, including removing Content, suspending or terminating Accounts, and reporting violations to law enforcement authorities.
8. Platform Purpose and Disclaimer
8.1 Storage and Sharing Platform
CINERA is a platform for storing, organizing, and sharing location scouting materials. The Service does not direct, supervise, or control your location scouting activities. Any location scouting you perform is done independently and at your own risk.
8.2 No Location Scouting Advice
CINERA does not provide advice regarding location scouting, property access, permits, safety, or legal compliance. You are solely responsible for obtaining all necessary permissions, permits, and authorizations before scouting or using any location.
8.3 User Responsibility
You acknowledge and agree that you are solely responsible for your own safety and conduct when scouting locations, and for ensuring that you have proper authorization to access any properties you scout. CINERA shall not be liable for any injuries, damages, legal claims, or other consequences arising from your location scouting activities.
8.4 AI-Powered Features
The Service includes AI Features that use large language models and machine learning to generate content, analyze images, and surface insights. Active AI agents include the Script Breakdown Agent (SBA), Location Match Agent (LMA), Scout Report Agent (SRA), Revision Impact Agent (RIA), and the Weather Intelligence analysis layer. By using AI Features, you acknowledge and agree that:
- AI Output is generated automatically and may contain inaccuracies, errors, or omissions. AI Output does not constitute professional advice of any kind, including meteorological, legal, safety, or production advice.
- You are solely responsible for reviewing, validating, and making decisions based on AI Output. CINERA is not liable for any decisions you make in reliance on AI Output.
- AI Features are subject to usage limits (for example, weather narrative generation is limited to 50 calls per user per day). Limits may change with notice.
- AI Features depend on third-party model availability. We do not guarantee that AI Features will be available at all times.
- We will not use your Content to train AI models. See Section 5.3 and our Privacy Policy for details.
All data passed to AI models is processed through CINERA's internal Prompt Security Layer (PSL) before leaving our servers. The PSL classifies every data field and applies one of three treatments: fields designated as public-safe are passed through; internally confidential fields (such as narratives, notes, and script references) are stripped or replaced with opaque tokens; and restricted fields (including precise addresses, GPS coordinates, property owner names, contact details, budget figures, and talent-adjacent screenplay content) are never transmitted to any AI model. Every AI call generates an internal audit record of field-level decisions, without recording field values. These audit records are available to CINERA administrators.
8.5 Weather Intelligence System
The Weather Intelligence System retrieves meteorological data from multiple third-party sources — including METAR aviation observations, Ambient Weather network stations, Synoptic Data, The Weather Company, and Environment and Climate Change Canada's GEM model — and uses AI to generate production-oriented weather narratives and shoot plans. You acknowledge that:
- Weather data is sourced from third parties and may be incomplete, delayed, or inaccurate. CINERA does not independently verify meteorological data.
- AI-generated weather narratives are intended as planning aids only. They are not a substitute for official forecasts, on-site observation, or professional meteorological consultation.
- You must not rely on AI weather narratives for any safety-critical production decision. Always consult current official forecasts and local conditions before committing crews or equipment to outdoor locations.
- Exported weather reports (including .docx files) contain AI-generated content and are labeled as such. Recipients of exported reports should be informed that the narrative is AI-generated.
8.6 On-Site Monitoring (Enterprise)
Enterprise subscribers may access On-Site Monitoring, which connects hardware sensors (including Tempest weather stations and Reolink camera systems) deployed at active production locations. This feature collects live environmental data (temperature, precipitation, wind, lightning detection) and, where cameras are deployed, live video feeds. You acknowledge that:
- You are responsible for ensuring that on-site hardware deployment complies with all applicable laws, including any requirements for notice or consent related to camera monitoring or recording on the applicable property.
- Live sensor data and video feeds are provided for production planning purposes only and do not substitute for professional safety assessments or licensed meteorological services.
- CINERA is not responsible for hardware failure, data transmission interruptions, or inaccurate sensor readings.
8.7 Image Analysis and Semantic Search
The Service may use Amazon Web Services Rekognition to automatically analyze and tag your uploaded photos, and may use AI embedding models to enable semantic search across your location library. Automatically generated tags and search rankings are AI outputs and may not be accurate or complete. You may edit or remove automatically generated tags at any time.
8.8 CINERA Review Platform
CINERA Review is a production dailies review platform for film and television that allows you to upload, organize, screen, and annotate video footage. You acknowledge that:
- Video content uploaded to CINERA Review is stored and delivered via Cloudflare Stream. By uploading video content, you represent and warrant that you hold all necessary rights, licenses, and permissions to that content, and that its upload and distribution through the Service does not infringe any third party's intellectual property rights.
- CINERA Review includes an AI Slate Reader feature that analyzes individual video frames to extract slate information (scene, take, roll, date, and camera identifiers). AI Slate Reader output is generated automatically and may be inaccurate. You are responsible for verifying slate data before relying on it for editorial or production decisions.
- Screener packages distributed through CINERA Review are access-controlled. You are solely responsible for managing recipient access, setting appropriate expiry dates, and revoking access when no longer required. CINERA is not responsible for unauthorized distribution of screener content by recipients who have been granted access.
- Studio and Enterprise tier subscribers may enable DRM-protected delivery, forensic watermarking, and SSO. These features are intended to protect your content, but CINERA does not warrant that they will prevent all forms of unauthorized access or copying.
- Video content stored in CINERA Review is retained for the duration of your active Review subscription. Upon subscription termination or expiry, your content will be retained for thirty (30) days, after which it will be permanently deleted from Cloudflare Stream. You are responsible for downloading and archiving any content you wish to retain before termination.
9. Intellectual Property
9.1 CINERA Intellectual Property
The Service, including its design, features, functionality, and all related intellectual property, is owned by Illuminate Productions Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use CINERA's trademarks, logos, or branding.
9.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.
10. Privacy and Data
10.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
10.2 Data Retention After Account Deletion
Upon Account deletion, we will retain your Content for ninety (90) days, after which it will be permanently deleted. During this retention period, you may contact us to restore your Account and Content. After the 90-day period, deletion is irreversible.
10.3 Data Location
Your Content may be stored and processed on servers located in various jurisdictions. By using the Service, you consent to such storage and processing.
11. Disclaimers
11.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2 No Guarantee
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.
11.3 Third-Party Services
The Service may integrate with or link to third-party services. We are not responsible for the availability, accuracy, or content of such third-party services.
11.4 AI Features
AI FEATURES AND AI OUTPUT ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY AS TO ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. CINERA MAKES NO WARRANTY THAT AI OUTPUT WILL BE ERROR-FREE, FACTUALLY CORRECT, OR APPROPRIATE FOR ANY SPECIFIC USE CASE. AI OUTPUT IS NOT PROFESSIONAL ADVICE. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF OR RELIANCE ON AI OUTPUT.
The Weather Intelligence System relies on meteorological data from third-party public sources. We make no warranty regarding the accuracy, timeliness, or completeness of weather data or AI-generated weather narratives.
12. Limitation of Liability
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CINERA, ILLUMINATE PRODUCTIONS INC., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
12.2 Liability Cap
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12.3 Basis of the Bargain
The limitations and exclusions in this section reflect the allocation of risk between you and CINERA and form an essential basis of the bargain between us.
13. Indemnification
You agree to indemnify, defend, and hold harmless CINERA, Illuminate Productions Inc., and their officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; (d) your violation of any third party's rights; (e) your location scouting activities; or (f) any decisions you make in reliance on AI Output, including without limitation decisions based on AI-generated weather narratives, scout reports, or image analysis.
14. Termination
14.1 Termination by You
You may terminate your Account at any time by cancelling your subscription and deleting your Account through the Service settings. Termination does not entitle you to any refund of fees paid.
14.2 Termination by Us
We may suspend or terminate your Account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, non-payment of fees, or discontinuation of the Service.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including ownership, disclaimers, limitations of liability, and indemnification.
15. Governing Law and Disputes
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of laws principles.
15.2 Jurisdiction
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada. You consent to the personal jurisdiction of such courts.
15.3 Informal Resolution
Before initiating any legal proceeding, you agree to first contact us and attempt to resolve the dispute informally. Most disputes can be resolved quickly and amicably through direct communication.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and CINERA regarding the Service and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
17.5 Notices
We may provide notices to you via email, posting on the Service, or other reasonable means. You may provide notices to us at the contact information below.
